Attached, please find a proposed amendment of the OEM-agreement ;

This is an amendment to update the original agreement.

The amended points are ;

Page 1 of the amendment ;
>> Name of the product which must be PGC6000, if I am not mistaking.
>> The model required for PGC6000 is ATEX European model with ISO heat value calculation, not US model with GPA BTU calculation.

Page 2 of the amendment ;
>> Effective date of this amendment is January 1, 2009. The present agreement is freezed till that time.
>> Quantity and delivery-schedule will be informed before March 31, 2009 
>> (this is the next new call-off order as Dr. Koerte forecasted) Yamatake would like to position RMG as a primary re-selling partner in Germany, which means Yamatake does not have an intent to have another re-seller in Germany. Meanwhile, it would be appreciated, if you could agree that Italy is excluded from world-wide market.
>> Prices from January 1. 2009 are 8,000 EUR for HGC303 and 760 EUR for SLD100. 
These prices are "minus 10%" of Yamatake's international prices for partners. Yamatake has thin margin which is needed for return of investment.


I checked what we could do with your stock, but could not find good solution.
One idea is that the delivery for the next call off order units can be late 2009, even though the agreement says 25 sets per year, so that volume in your stock can be decreasing before the next delivery from Yamatake.
